PLEASE NOTE THAT DISPUTES ABOUT THESE TERMS OF USE AND FENO WEBSITE AND APPLICATIONS ARE SUBJECT TO BINDING AND A WAIVER OF CLASS ACTION RIGHTS.

Acceptance of the Terms of Use

These terms of use are entered into by and between You and Feno Labs, Inc. ("Company," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Use"), govern your access to and use of www.feno.co and the Feno mobile application (collectively, the "Platform"), including any content, functionality and services offered on or through the Platform, whether as a guest or a registered user.

By using the Platform, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Platform.

This Platform is offered and available to users who are 18 years of age or older. By using this Platform, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Platform following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

Accessing the Platform and Account Security

We reserve the right to withdraw or amend this Platform, and any service or material we provide on the Platform, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Platform is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Platform, or the entire Platform, to users, including registered users.

You are responsible for making all arrangements necessary for you to have access to the Platform and ensuring that all persons who access the Platform through your internet connection or device are aware of these Terms of Use and comply with them.

Intellectual Property Rights

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Use permit you to use the Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform.

Prohibited Uses

You may use the Platform only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Platform:

  • In any way that violates any applicable federal, state, local, or international law or regulation.
  • To transmit, or procure the sending of, any advertising or promotional material, including any 'junk mail,' 'chain letter,' 'spam,' or any other similar solicitation.
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by us, may harm the Company or users of the Platform or expose them to liability.

User Contributions

The Platform may contain message boards, chat rooms, personal profiles, forums, or other interactive features that allow users to post, submit, publish, display, or transmit content or materials. Any content a user submits must comply with the Content Standards set out in these Terms of Use.

Third-Party Health Data Partners

Feno partners with third-party laboratories and health data providers ("Health Partners") to offer expanded health insights through the Feno Platform. As part of certain Feno product offerings, including Feno Elite, users may be invited to participate in biological sample collection programs.

As part of these programs, you may be asked to provide biological samples (including salivary samples) which will be collected by you and sent directly to our Health Partners' laboratory facilities. Your samples will be processed and analyzed by the relevant Health Partner, and the resulting data will be transmitted back to the Feno Platform.

By participating in any Health Partner program, you acknowledge and agree that:

  • Your biological sample will be processed by the designated Health Partner under their own terms of service and privacy policy, which you will be required to accept separately.
  • The results data generated from your sample will be transmitted to Feno and combined with your existing Feno platform data.
  • You have read and understood the relevant Health Partner's terms before submitting your sample.

Feno will provide links to each Health Partner's terms at the point of enrollment. You must affirmatively accept those terms before participating.

Health Data Processing and AI Analysis

Feno's Platform combines data received from Health Partners with data collected through your use of the Feno device and application, including brushing behavior metrics, oral scan data, and survey responses. This combined dataset is processed through Feno's proprietary AI model (the "Fenome Intelligence Platform") to generate personalized oral and systemic health insights.

By using the Feno Platform and enrolling in any Health Partner program, you explicitly consent to:

  • Your health and behavioral data being processed by Feno's AI model to generate personalized insights.
  • Your de-identified and aggregated data being used to train, improve, and refine Feno's AI models and algorithms. Feno will not use individually identifiable data for AI training without your separate, explicit consent.
  • Feno combining microbiome data, brushing data, scan data, and survey responses into a unified health profile accessible through your Feno account.

All insights provided through the Feno Platform are for informational and wellness purposes only. They do not constitute medical diagnoses, clinical advice, or treatment recommendations. You should always consult a qualified healthcare professional regarding any health concerns.

Feno Elite — Health Data Consent

For users purchasing Feno Elite or any product bundle that includes third-party health data services, your purchase and continued use of the Feno Platform constitutes your acceptance of these Terms of Use and your consent to the health data processing practices described herein, including:

  • Your salivary sample being sent to and processed by a Health Partner.
  • Your results data being transmitted to and processed by Feno.
  • Feno combining Health Partner data with your device and app data to generate health insights.
  • Your de-identified data being used for AI model training as described in the Health Data Processing section above.
  • The relevant Health Partner's own terms and privacy policy, which will be made available to you prior to sample submission.

You may withdraw your consent to health data processing at any time by contacting support@feno.co, subject to the data retention provisions below. Withdrawal of consent may affect your ability to use certain features of the Platform.

HIPAA and Protected Health Information

To the extent that Feno receives Protected Health Information ("PHI") as defined under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and its implementing regulations, Feno will handle such information in accordance with applicable law and any Business Associate Agreement ("BAA") in place with the relevant Covered Entity or Business Associate transmitting that data.

Feno is not a Covered Entity under HIPAA. Where Feno acts as a Business Associate, it will implement and maintain appropriate technical, administrative, and physical safeguards to protect the privacy and security of PHI as required by HIPAA and the HITECH Act.

Biological Sample Data — Your Rights

You have the following rights with respect to health data held by Feno:

  • Access: You may request a copy of the health data Feno holds about you by contacting support@feno.co.
  • Correction: You may request correction of inaccurate data held by Feno.
  • Deletion: You may request deletion of your health data from Feno's systems. Note that deletion requests relating to biological sample data processed by a Health Partner must also be submitted directly to that Health Partner, as Feno does not control data held in third-party systems.
  • Portability: You may request an export of your Feno health data in a machine-readable format.
  • Withdrawal of AI training consent: You may withdraw consent for your de-identified data to be used for AI model training at any time by contacting support@feno.co. This will not affect data already used in prior training cycles.

To exercise any of these rights, contact us at support@feno.co. We will respond to verified requests within 30 days.

Data Retention — Health and Biological Sample Data

Health data received from Health Partners, including microbiome analysis results, will be retained by Feno for as long as your account remains active and for a period of up to 3 years following account termination, except where longer retention is required by applicable law.

Upon account termination or a verified deletion request, Feno will delete or permanently anonymize your health data within 60 days, except where retention is required by law or where the data has already been irreversibly incorporated into anonymized aggregate datasets used for AI model training.

Please note that Feno cannot control the retention practices of Health Partners. You should review each Health Partner's privacy policy for information about how they retain your biological sample and results data.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM.

WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE PLATFORM, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM, INCLUDING HEALTH INSIGHTS GENERATED BY OUR AI MODEL OR RECEIVED FROM HEALTH PARTNERS, WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED. HEALTH INSIGHTS PROVIDED THROUGH THE PLATFORM ARE FOR WELLNESS AND INFORMATIONAL PURPOSES ONLY AND ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE PLATFORM OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Platform.

Governing Law and Jurisdiction

All matters relating to the Platform and these Terms of Use, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule.

Binding Arbitration and Waiver of Class Action

Any dispute arising out of or relating to these Terms of Use or the Platform shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to a trial by jury or to participate in a class action lawsuit or class-wide arbitration.
